KMS ANNOUNCES APPOINTMENT OF EXECUTIVE CHAIRMAN

The Directors of Knowledge Management Software plc ('KMS') announce today that
Mr James Metcalf has been appointed Executive Chairman with immediate effect.

Mr Metcalf, age 48, has spent the whole of his working life in the IT sector
occupying senior positions within ICL and Tandem Computers during the early
part of his career. More recently he was a Vice President of Sales for Oracle
in the UK, responsible for multiple vertical sectors, for a period of 5 years
prior to his appointment in 2000 as Chief Executive Officer of Mediasurface
Ltd, a leading provider of advanced content management software.

Stuart Whistance, current non-executive chairman, will be stepping down but
remaining on the Board as a non-Executive Director.

David Rosalski, Chief Executive Officer, said 'This is a significant
appointment as James's extensive knowledge and experience will considerably
strengthen the KMS management team. I very much look forward to working
closely with James in driving the Group during the next stages of its
development.'

The Board of KMS is delighted that Stuart Whistance's experience will continue
to be available to the Group whilst effecting his wish, expressed during the
Company's flotation on the London Stock Exchange in May 2000, to step down
from a leadership role at an appropriate time.
