                 Tesco and Xansa sign new IT Services Agreement

                  Minimum revenue commitment over three years



Tesco, one of the top three international retailers in the world, and Xansa, the
outsourcing and technology company, have agreed a new IT services contract,
which includes a minimum revenue commitment over the three years to 2008.



Building on a relationship that extends back over fifteen years, Xansa will
continue to drive down the cost of Tesco's core IT operations through delivery
excellence, use of offshore and improvements in productivity.  This will allow
Tesco to focus on enhancing and extending its retail services and improve the
overall shopping experience for its customers.



Xansa will continue to provide a portfolio of services through its integrated
delivery channels in the UK and in India.  Services will include application
management, software development and programme and project management for a wide
range of Tesco's critical IT systems covering distribution, stock replenishment,
products and pricing through to daily shelf-edge labelling.  Xansa will also
support the UK and Republic of Ireland payroll systems as well as providing
general sales information. Within the UK, Tesco has 2,365 stores and over
367,000 staff, serving 15 million customers per week.
