Result of WRAP Retail Offer, Issue of Equity and Total Voting Rights
Sundae Bar Plc (AIM: SBAR), a company creating a marketplace for AI Agents, further to the announcement made by the Company at 16:37 on 28 October 2025, announces that it has raised £29,004.18 pursuant to the WRAP Retail Offer. Accordingly, the Company will issue a total of 483,403 new Ordinary Shares at the Issue Price pursuant to the WRAP Retail Offer. The WRAP Retail Offer was conducted alongside the £1,000,000 Placing details of which were announced by the Company at 16:30 on 28 October 2025.
In total, the Placing and the WRAP Retail Offer have raised gross proceeds of approximately £1,029,000 for the Company, via the Placing of 16,666,667 Placing Shares and the 483,403 WRAP Retail Offer Shares.
Admission and Total Voting Rights
Application will be made for the Placing Shares and the WRAP Retail Offer Shares (in total 17,150,070 new Ordinary Shares) to be admitted to trading on AIM ("Admission"). Admission is expected to become effective at 08:00 on or around 5 November 2025.
Upon Admission, the Company's issued ordinary share capital will consist of 429,740,051 Ordinary Shares with one voting right each. The Company does not hold any Ordinary Shares in treasury. Therefore, from Admission the total number of Ordinary Shares and voting rights in the Company will be 429,740,051. With effect from Admission, this figure may be used by Shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
The new Ordinary Shares to be issued pursuant to the Placing and the WRAP Retail Offer will be issued free of all liens, charges and encumbrances and will, on Admission, rank pari passu in all respects with the existing Ordinary Shares.
