Issue of equity

Further to the announcement of 31 May 2013, the board of TwentyFour Income Fund Limited (the "Company", "TFIF") is pleased to announce that it has received commitments from qualified investors for a placing of GBP 31 million before costs and expenses through the issue of new ordinary redeemable shares of 1p each in the capital of the Company (the "New Shares") and the admission of the New Shares to the premium segment of the Official List of the UK Listing Authority (the "Official List") and to trading on the London Stock Exchange plc's Main Market for listed securities (the "London Stock Exchange") under the Placing Programme (as described in the Company's prospectus, dated 19 February 2013) through its corporate broker, Numis Securities Limited (the "Issue").

The New Shares will be issued at a price which represents a 2 per cent. premium to the NAV as at 7 June 2013. Pricing will be announced on 11 June 2013, as will the total number of shares to be issued.

Admission is expected to become effective, and dealings in the New Shares to commence, at 8:00 a.m. on 13 June 2013.
