Schroder Japan Growth Fund plc announces that at the Extraordinary General
Meeting, held at 31 Gresham Street, London EC2V 7QA3 at 3.00 p.m. on Tuesday, 2
May 2000, the special resolutions numbered 1, 2 and 3 as set out in the Notice
of Meeting contained within the Circular dated 3 April 2000 were duly passed.

The separate meeting of the Warrantholders held at 31 Gresham Street, London
EC2V 7QA3 held immediately after the Extraordinary General Meeting was
inquorate.  This meeting was adjourned until 3.00 p.m. on Monday 8 May 2000.
