Lloyds TSB Group plc

Application  has  been made to the UK Listing Authority  for  the  listing  of
8,891,279  ordinary  shares of 25p each fully paid of Lloyds  TSB  Group  plc,
having  the  same  rights  and being subject to the  same  conditions  as  the
existing  25p  ordinary shares, to be admitted to the  Official  List  and  to
trading  on the London Stock Exchange.  These shares will be allotted pursuant
to the Lloyds TSB Group staff profit sharing share scheme 1996.
