                            DIRECTORS' SHAREHOLDINGS

The Company has been advised by Abacus Corporate Trustee Limited ('Abacus') that
Abacus, as trustee of the GUS plc ESOP Trust ('the Trust'), now holds 5,317,475
Ordinary shares of 10 pence each in the Company. The notification from Abacus
was received by the Company on 19 December.

As announced on 11 December, the holding at that date was 13,224,545 Ordinary
shares. Since then 336,215 Ordinary shares have been released in connection with
the exercise of options granted under GUS plc's former UK share option schemes
and 7,570,855 shares have been transferred to the Home Retail Group plc Employee
Share Trust.

Directors of the Company are potential beneficiaries of the Trust and
accordingly any changes in the shareholdings by the Trust are deemed to change
their interests in the Ordinary share capital of the Company.
