RESULT OF ANNUAL GENERAL MEETING

At the Annual General Meeting of GB Group plc held today, all of the proposed resolutions were duly passed.

The proxy voting received prior to the meeting was as follows:

• Votes in respect of 17,360,670 shares were received in relation to the resolutions representing 20.56% of the shares in issue.

• Of the votes received a minimum of 91.18% were in favour of each resolution and a maximum of 6.94% were against.
