DIRECTOR'S DEALINGS                                        4th December 2001


Sale of shares by a Director and an increase in a disclosable holding.


As of the 4th December, H S Real Company, LLC. that holds share on behalf of
discretionary trusts the beneficiaries of which are the adult children of
Colin Halpern, Chairman, and his wife Gail, has sold, pursuant to an option
agreement with RBS Mezzanine Ltd 700,000 shares to RBSM (Investment) Ltd a
wholly-owned subsidiary of RBS Mezzanine Limited at an option price of 50p per
share.

Following RBSM (Investment) Ltd purchase of the 700,000 shares, RBSM
(Investments) Ltd interest in the ordinary shares will increase to 3,862,618
representing 7.73% of the issued share capital of the Company.

Following completion of the disposals H S Real Company, LLC will retain an
interest in 18,374,006 ordinary shares, representing 36.75% of the issued
share capital of the Company.
