At the annual general meeting to be held on 29 July 2008, it is proposed that new articles of association will be adopted, with effect from 1 October 2008, in order to update Caledonia's existing articles of association primarily to take account of changes in English company law brought about by those provisions of the Companies Act 2006 which will be in force at that date. A summary of the proposed changes to the existing articles of association is set out in the circular to shareholders referred to above and the new articles of association submitted to UK Listing Authority have also been black-lined to show these changes.
