Babcock International Group PLC has received notification from Scudder
Threadneedle on behalf of Zurich Financial Services and its Group that as at
24 January 2001, it has an interest in 5,200,000 Ordinary Shares of 60p each
in the Company. This interest represents 3.66% of the issued Ordinary Share
capital of the Company and the shares are registered as follows:
