Director/PDMR Shareholding

Serco Group plc was notified on 13 March 2007, by Mr Kevin Beeston Executive
Chairman, that he and persons connected with him (as defined under section 346
Companies Act 1985) disposed of a total of 21,195 Serco Ordinary Shares at
prices ranging from £4.44 to £4.45.

Serco Group plc was further notified today, 14 March 2007, that Mr Kevin
Beeston exercised 13,788 options granted under the 1998 Executive Share Option
at a price of £2.17 per share and sold 13,788 Serco Ordinary Shares at a price
of £4.34 per share. On the same day Mr Beeston sold 21,557 Serco Ordinary
Shares which vested under the terms of the Serco Group plc Deferred Bonus
Scheme at a price of £4.34 per share.

This notice is given in fulfilment of the obligations under DR3.1.2R and
DR3.1.4 (1)(a)R.
