Xansa PLC
23 May 2002

                         Appointment of Chief Executive

Thursday 23 May 2002

Xansa, the Business Consulting, Information Technology and Outsourcing company,
is pleased to announce the appointment of a Chief Executive, Alistair Cox, who
will take up the position and join the Xansa Board of Directors from 1 August

Hilary Cropper, Executive Chairman, will move to a non-executive role from 1
August 2002, and will continue to devote significant time to Xansa, especially
during the first year, to ensure a smooth transition. Mrs Cropper became
Executive Chairman in January 2000 having formerly been Deputy Chairman and
Chief Executive.

Mr Cox, aged 41, joins Xansa from Lafarge, a world leading company in building
materials where for the last four years he has been the Regional President in
Asia, responsible for operations in six countries. He has delivered major
acquisitions and successfully integrated them into a combined operation
employing over 6,000 people.

An engineer by background, his early business experience was with British
Aerospace and Schlumberger in the UK and USA. Having obtained an MBA from
Stanford Graduate School of Business in 1991, he joined McKinsey & Co where he
gained broad international experience across a number of industries including
information technology, energy and utilities, and consumer goods. He joined
Blue Circle (subsequently Lafarge) as Group Strategy Director in 1994 to define
and implement significant restructuring.

Hilary Cropper, Executive Chairman, said:

"I am delighted that we have been able to attract someone of Alistair Cox's
calibre to this role. Xansa is a relationship business above all else and I am
confident that Alistair will preserve and continue to develop the ethos of
partnership that lies at the heart of our commercial success. His management and
consulting experience and his deep knowledge of many of Xansa's market sectors
give him an excellent background for taking the company forward through its next
phase of international expansion."

Alistair Cox said:

"This is a very exciting stage of the company's development. Xansa has a
strong brand, a unique proposition to its clients and an excellent track record
of success. The company has a clear growth strategy across its integrated
business, particularly leveraging off recent success in outsourcing and business
process outsourcing.

The collective challenge for Xansa will be to ensure that we can execute that
strategy effectively and rapidly whilst preserving the culture and values that
differentiate us from our competitors. We have in place all the elements
necessary to move the company forward strongly and I look forward to working
with the teams around the world to ensure Xansa's continued progress."
