Geneva, 3 November 2026: In accordance with Rule 5.6.1R of the Financial Conduct Authority's Disclosure Rules and Transparency Rules (the "DTRs"), Wizz Air Holdings Plc (the "Company" and, together with its subsidiaries, the "Group"), notifies that on 30 October 2026:
- it has one class of shares in issue, being ordinary shares of £0.0001 each ("Ordinary Shares");
- the total number of Ordinary Shares in issue is 103,536,193; and
- there are no shares held in treasury.
Each Ordinary Share carries one voting right, except that Ordinary Shares held by Non-Qualifying Nationals are subject to proportional disenfranchisement measures as announced by the Company, most recently, on 10 July 2026; for more information, please refer to our Regulatory-News section: (https://wizzair.com/en-gb/information-and-services/investor-relations/investors/regulatory-news).
The total voting rights figure of 103,536,193 may be used by shareholders (and others with notification obligations) as the denominator for the calculations by which they will determine whether they are required to notify their interest in, or a change to their interest in, the Company under the DTRs.
The total figure of 127,928,762 may be used by shareholders for the Company's theoretical fully diluted share capital as at 30 October 2026, such total figure comprising 103,536,193 issued Ordinary Shares, 24,246,715 new Ordinary Shares which would have been issued if the full principal of outstanding convertible notes had been fully converted on 30 October 2026 (excluding any Ordinary Shares that would be issued in respect of accrued but unpaid interest on that date) and 145,854 new Ordinary Shares which may be issued upon exercise of vested but unexercised employee share options.
The following information is disclosed in accordance with the Prospectus Rules: Admission to Trading on a Regulated Market (PRM) 1.6.4R
Since the last block listing review, certain vested options were exercised over a total of 1,457 (LTIP: 1,457, LEAD: 0) ordinary shares of GBP 0.0001p each under Wizz Air’s share option schemes. Admission to trading on the Main Market of the London Stock Exchange (ISIN: JE00BN574F90) of the new ordinary shares has been satisfied via block admission for the relevant share option scheme and rank pari passu with the existing ordinary shares of Wizz Air Holdings plc with LEI (213800COXGZCORLJZA85). The balance under the scheme(s) not yet issued/allotted at the end of 30 October 2026 stands at: 1. (LTIP) 137,505 and 2. (LEAD) 18,100.
