Rebranding, Change of TIDM, Proposed Change of Name and Notice of General Meeting
Technology Minerals Plc (LSE: TM1), the UK listed company focused on building national resource and manufacturing resilience, is pleased to announce the Company's rebranding, including the change of its Tradable Instrument Display Mnemonic ("TIDM") from TM1 to MNTL.
The Company's registered name will remain Technology Minerals Plc until the proposed change of name to Mantle Resilience Plc (trading as "Mantle") has been approved by shareholders and registered at Companies House. The Company's ISIN (GB00BP094P47), SEDOL (BP094P4), LEI (2138001U1U2XY5UYA479) and company number (13446965) remain unchanged. Existing share certificates remain valid and should be retained.
Trading on the Main Market of the London Stock Exchange under the new TIDM MNTL will commence at 8.00 a.m. on 15 September 2026. Until the change of registered name becomes effective, trading screens are expected to continue to display the Company's name as Technology Minerals Plc.
The Mantle Strategy
The Mantle strategy exists to build the critical sovereign capabilities on which the UK's security and resilience depend. The UK remains heavily reliant on imported critical materials and supply chains it does not control, while lacking the ability to scale industrial production at pace.
The proposed name change marks the Company's strategic repositioning as an operating company that identifies, catalyses and accelerates the build-out of critical sovereign capabilities central to the UK's future security and resilience.
Under the name Mantle, the Company will own and grow businesses that secure the UK's domestic resources and expand the manufacturing and related technology capacity underpinning UK defence, energy and infrastructure.
· Building secure supply chains for essential raw materials: the Company will acquire and develop businesses that use technology to accelerate domestic extraction, reclamation and recycling, shortening UK supply chains. It is already a 48% shareholder in Recyclus Group, one of the UK's first industrial-scale battery recyclers. The Company also continues to hold mineral exploration assets.
· Establishing sovereign manufacturing & systems integration capabilities: the Company will invest in UK businesses that manufacture critical components - including batteries and energy storage, autonomous-system components, high-performance magnets and semiconductors - and in systems and platform integration.
The Mantle strategy aligns with the Strategic Defence Review 2025 and supports the UK Government's Critical Minerals Strategy (Vision 2035) including its objectives for greater domestic production and recycling and reduced reliance on single-country supply.
The Company will bring these capabilities together within a single listed platform. It is expected to connect industry, government and capital around a sovereign resilience mandate. This means using our networks to offer the Company's businesses credible routes into defence, national security and other strategically important markets, supported by the secure digital and physical infrastructure needed to work with each other and government.
Delivery on our Mantle Strategy
Delivery is already underway as the Company nears the end of the consolidation phase, having reset its balance sheet and started to catalyse its existing assets. The Company is progressing its near-term pipeline of value-accretive opportunities.
The Board is confident that there are significant commercial opportunities in building the extraction, recycling and manufacturing capacity required to support the UK's strategic objectives. The Company is being shaped to own this opportunity and will acquire and scale cash-generative businesses aligned with these national targets.
The Company intends to deliver shareholder value through numerous means including earnings growth from the underlying assets, network effects from an integrated listed platform, and long-term tailwinds supported by Government and institutional capital.
Notice of General Meeting
The Company intends to convene a general meeting to be held on or around 14 October 2026 (the "GM"). The business of the GM is expected to include:
• a special resolution to change the Company's registered name from Technology Minerals Plc to Mantle Resilience Plc; and
• such other resolutions as the Board considers necessary or desirable in connection with the Mantle strategy, including authorities relating to the allotment of shares.
A circular containing the notice of the GM, the full text of the resolutions and an explanatory letter from the Board will be posted to shareholders and announced in due course. The registered name will change only when Companies House issues a certificate of incorporation on change of name following the passing of the relevant resolution.
The rebrand does not change the legal entity, the listing or the rights attaching to the ordinary shares. It reflects a strategy already being executed. It is the transition from an exploration-led business towards a vertically integrated operating company, aligned with the UK Government's Critical Minerals Strategy (Vision 2035), and positioned as a listed national resilience platform.
