Sundae Bar AI PLC (AIM: SBAR), the Enterprise AI Platform where businesses discover, deploy and manage AI through one simple interface, is pleased to announce that the Company has raised £500,000 (before expenses) through the issue of 12,500,000 new ordinary shares of 0.1p each (the "Ordinary Shares") at 4 pence per share (the "Issue Price") (the "Placing Shares") representing a small discount of approximately 4% from the middle close market price of 4.15 pence as at the close of business on 25 August 2026 (the "Placing"). The Placing was undertaken by the Company's Broker, Clear Capital Markets Limited.
Use of Proceeds
Funds raised will be used to accelerate the commercial growth of sundae_bar, supporting continued product development, customer acquisition and the expansion of our enterprise AI platform.
Further details of the Placing
Pursuant to the Placing, which is conditional on Admission, 12,500,000 Placing Shares are being issued and allotted. Application has been made for the Placing Shares to be admitted to trading on AIM (the "Admission"). It is expected that Admission will become effective and trading in the Placing Shares will commence at 8.00 a.m. on or around 1 September 2026.
As consideration for its services in connection with the Placing the Company will be issuing 1,500,000 warrants to the Company's Broker (each a "Broker Warrant"). Each Broker Warrant will be exercisable at a price equal to the Issue Price up until five years from the date of the Admission.
Total Voting Rights
Following Admission of the Placing Shares, the Company's issued share capital will comprise 442,490,051 Ordinary Shares, each carrying one voting right. The Company does not hold any Ordinary Shares in treasury. Following Admission, this figure may therefore be used by shareholders as the denominator for the calculations by which they will determine whether they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
