Total Voting Rights and Completion of Tender Offer

Following the announcement of the Tender Offer results on Friday 24 July, RIT Capital Partners plc (the "Company") purchased 11,172,560 Shares at a price of £26.8515 per Share (the "Tender Price"). Those Shares have now been cancelled.  

Accordingly, in conformity with Disclosure Guidance and Transparency Rule 5.6.1A, the Company hereby notifies the market that, as at the close of business on 27 July 2026:

the Company's issued share capital consists of 129,942,353 ordinary shares of £1 each, of which 5,072,512 ordinary shares are held in treasury.   

Therefore, the total number of voting rights in the Company is 124,869,841. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.   

Unless otherwise defined herein, capitalised terms used in this announcement shall have the same meanings as ascribed to them in the circular published by the Company on 8 July 2026.
