ANNOUNCEMENT OF TENDER PRICE
22 July 2026
Further to the Company's publication of a circular (the "Circular") to shareholders on 8 July 2026 containing details of the Tender Offer to purchase up to £300 million of Shares in the Company, RIT is pleased to announce the Tender Price.
The Tender Price at which all Shares accepted in the Tender Offer will be acquired is £26.8515 per Share.
The Tender Price is equal to 85 per cent. of the preliminary unaudited diluted Net Asset Value per Share (with debt at fair value) as at 30 June 2026, which is the latest published Net Asset Value per Share, calculated to four decimal places in Sterling.
The maximum number of Shares which the Company will purchase in order to achieve a total purchase price of £300 million is 11,172,560 (the "Available Shares") and the proportion of each Shareholder's Shares in respect of which tenders will be satisfied in full will be 8.21 per cent. (the "Announced Percentage").
Unless otherwise defined herein, capitalised terms used in this announcement shall have the same meanings as ascribed to them in the Circular.
