MedPal AI plc (AIM: MPAL; FRA: Z1N), the AI-native digital health and pharmacy group, announces the issue of 1,075,872 new ordinary shares of £0.0002 each as set out below.

Final consideration for eMARx

Further to the announcement of 20 July 2026, of the acquisition of Solid State Technologies Ltd, trading as eMARx, the completion accounts adjustment has been finalised and has been satisfied as to £16,547 in cash and as to the balance by the issue of 904,442 new ordinary shares (the "Additional Consideration Shares"). Based on the closing mid-market price of 5.5 pence per share on 3 September 2026, the Additional Consideration Shares have a value of approximately £49,744, giving a total value of the final consideration of approximately £66,291 and total consideration for the acquisition of approximately £446,633. The Additional Consideration Shares are subject to the same lock-up and orderly market arrangements as the initial consideration shares.

Shares in lieu of cash

The Company has also issued 171,430 new ordinary shares (the "Award Shares") to a member of the Group's management team at a price of 5.0 pence per share, in lieu of £8,571.50 of cash.

Admission and total voting rights

Application has been made for 1,075,872 new shares, comprising the Additional Consideration Shares and the Award Shares, to be admitted to trading on AIM ("Admission"), with Admission expected to become effective at 8.00 a.m. on 9 September 2026. The New Shares will rank pari passu with the Company's existing ordinary shares.

Following Admission, the Company's issued share capital will comprise 779,118,302 ordinary shares of £0.0002 each, each carrying one vote, with no shares held in treasury. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
