LLOYDS TSB GROUP CHAIRMAN
Maarten van den Bergh, until recently President of Royal Dutch Petroleum
Company and Vice-Chairman of the Committee of Managing Directors of the Royal
Dutch/Shell Group of companies, will join the board of Lloyds TSB Group as a
Deputy Chairman on 1 October 2000 and will succeed Sir Brian Pitman as
Chairman when Sir Brian retires at the annual general meeting in April 2001.
Mr. van den Bergh has lived in the UK for many years at different stages of
his career. He will continue as a director of the Royal Dutch Petroleum
Company and an adviser to the chief executive of the Hong Kong Special
Administrative Region. He was a supervisory board member of the Dutch central
bank until 1 July 2000.
Sir Brian Pitman said 'I am delighted that Maarten, whom I have known for many
years, has agreed to succeed me as Chairman. The board was quite clear that we
wanted an experienced business person with a thorough understanding of
commerce, finance and the challenges facing an organisation like ours. He will
bring to the Group the experience of having helped one of the largest
companies in the world through a major change process that has affected every
bit of the organisation and which has ensured that it remains a leader in its
industry. He has a wealth of international experience and a very successful
track record. He is also as keen on shareholder value as I am.'
Maarten van den Bergh's biographical details are attached.

Maarten van den Bergh was appointed President of Royal Dutch Petroleum and
Vice-Chairman of the Committee of Managing Directors of the Royal Dutch/Shell
Group in July 1998. In this capacity, he was deeply involved in transforming
Shell into the 'Group of the Future'. He had been a Group Managing Director
since July 1992.
A first posting to Japan set the scene for a career in Shell with a strong
focus on Asian operations, starting with the setting up of a new chemicals
factory. Trained as an accountant, Maarten van den Bergh then moved into the
Treasury function, based in Shell Venezuela, where in his last year there he
oversaw the financial implications of nationalisation.
A return to the Pacific basin encompassed a period in Indonesia as Finance
Manager for many local operations, followed by an appointment to the
Philippines, to develop the business and oversee the construction of a major
LPG terminal at Tobangao, now handling about 1 million tonnes a year. While
in the Philippines, he was involved in the creation of the Shell Foundation,
which remains an important contributor to local skills training.
As Area Co-ordinator for East and Australasia, and then Regional Co-ordinator
for the Western hemisphere and Africa, he was based in London with
responsibility for representing shareholder interests in businesses with a
capital employed of US$5 billion. The role required management of the plans
of different operating companies, and provided a link for them to central
services.
In Shell's Treasury department over the period of the City's 'Big Bang', he
saw radical changes in banking practice, and started the first internal
guidelines publication to help local companies and the Group manage their
funding in the new financial market place.
