Update on Equity Co-Investors
On 18 June 2026, the boards of Intertek and Bidco announced that they had reached agreement on the terms of a recommended final cash acquisition pursuant to which the entire issued and to be issued ordinary share capital of Intertek will be acquired by Bidco (the "Acquisition"). The Acquisition is to be implemented by way of a Court-sanctioned scheme of arrangement under Part 26 of the Companies Act 2006 (the "Scheme") and is subject to the terms and conditions set out in the circular in relation to the Scheme sent to Intertek Shareholders dated 15 July 2026 (the "Scheme Document").
Capitalised terms used but not otherwise defined in this announcement (the "Announcement") have the meanings set out in the Scheme Document.
It is noted that paragraph 3 of Part II of the Scheme Document, and paragraphs 10 and 11 of Part VII of the Scheme Document, each state that certain equity commitments to be provided by investment vehicles managed by the EQT Group will be provided by equity co-investors through funds and/or investment vehicles managed and/or owned by the EQT Group (the "Initial Equity Co-Investors") and, if any further equity commitments are received from co-investors prior to the Scheme becoming Effective, an announcement will be made by Bidco in respect of this through a Regulatory Information Service.
As at the date of this Announcement, Bidco confirms that EFMS, in its capacity as the manager of the Co-Investment Vehicles, has agreed to further subscriptions from certain investors and/or their affiliates or other associated entities, to subscribe for interests in a Co-Investment Vehicle, through which such investors and/or affiliates or other associated entities will indirectly acquire minority interests in Bidco (the "Further Equity Co-Investors"). As is the case with the Initial Equity Co-Investors, the Further Equity Co-Investors will not be granted any governance or control rights over Bidco or any member of the Bidco Group. For the avoidance of doubt, the Equity Commitment Letters described in paragraph 8.2 of Part VII of the Scheme Document do not reflect any amounts proposed to be committed by any Further Equity Co-Investor.
The commitments from the Further Equity Co-Investors to the Co-Investment Vehicles total, in the aggregate, £388 million as at the date of this Announcement. Accordingly, together with the commitments of £1,014 million from the Initial Equity Co-Investors described in paragraph 11 of Part VII of the Scheme Document, the expected economic indirect interest of the Co-Investment Vehicles in Bidco at completion of the Acquisition, as at the date of this Announcement, is approximately 25.9 per cent. Details of the Further Equity Co-Investors and their expected percentage holding of interests in Bidco are set out below. The expected indirect interests set out below reflect a combination of the indirect interest of the relevant Equity Co-Investor in Bidco, in the aggregate, via its participation as an investor in a Co-Investment Vehicle and through any limited partner interest in certain other funds and/or investment vehicles managed, advised and/or owned by the EQT Group.

Additional information for US investors
The Acquisition is being made to acquire the shares of an English company by means of a scheme of arrangement provided for under English law. A transaction effected by means of a scheme of arrangement is not subject to the tender offer rules or the proxy solicitation rules under the US Exchange Act. Accordingly, the Scheme will be subject to disclosure requirements and practices applicable in the UK to schemes of arrangement, which are different from the disclosure requirements of the US tender offer rules and the US proxy solicitation rules. If the Acquisition is effected by way of a Takeover Offer, and such a Takeover Offer becomes or is declared unconditional and sufficient acceptances are received, Bidco intends to exercise its rights to apply the provisions of Chapter 3 of Part 28 of the Companies Act so as to acquire compulsorily the remaining Intertek Shares in respect of which the Takeover Offer has not been accepted.
Investors should be aware that Bidco may purchase Intertek Shares otherwise than under any Takeover Offer or the Scheme, including pursuant to privately negotiated purchases.
The Acquisition will be subject to English law, the jurisdiction of the Court, and the applicable requirements of the Companies Act, the Code, the Panel, the London Stock Exchange and the FCA.
