Temporary Accommodation Funding plc (together, the "Issuers" and each an "Issuer")

Corporate Reorganisation

The Issuers' group has completed a corporate restructure and the ownership of the Issuers have changed from T.H.F.C. (Services) Limited to The Housing Finance Holding Corporation Limited. The Housing Finance Holding Corporation Limited is now the sole member of each Issuer.

In addition, The Housing Finance Corporation Limited is now a subsidiary of The Housing Finance Holding Corporation Limited and each board member of The Housing Finance Corporation Limited is now a board member of The Housing Finance Holding Corporation Limited.

As a consequence of this restructure, the administrator of each Issuer has changed from T.H.F.C. (Services) Limited (the "Previous Administrator") to The Housing Finance Corporation Operations Ltd (the "New Administrator"). The management services agreements originally dated 25 February 2025 between each of Social Housing Finance 1 plc and Social Housing Finance 2 plc and the Previous Administrator have been transferred by way of deed of novation from the Previous Administrator to the New Administrator. The management services agreements originally dated 8 April 2026 between each of Urban Housing Finance plc, Shared Ownership Funding plc and Temporary Accommodation Funding plc and the Previous Administrator have been transferred by way of deed of novation from the Previous Administrator to the New Administrator.
