Update on Litigation

The Company noted on 1 October 2026 that Harcus Parker Limited had announced that they have issued High Court proceedings against the Company and certain other parties (the "Claim"). 

Neither the claim form relating to the Claim or any particulars of claim have been served on the Company by Harcus Parker.   

However, pursuant to a claim form issued at the High Court and now made available to the Company, the Company notes the Claim has been brought against the Company, certain of the Company’s former directors, its former investment adviser (Alvarium Home REIT Advisors Limited), former alternative investment fund manager (Alvarium Fund Managers (UK) Limited), and other third parties. 

The claim form states that the claimants bring various claims against the Company and other parties, including against the Company for compensation under the Financial Services and Markets Act 2000, and for recission and/or damages under the Misrepresentation Act 1967. The claim form states the Claim is valued by the claimants as "above £100,000" and "in excess of £10 million", plus interest and costs, but no further information on the quantum of the Claim has been provided with the claim form.

As the Claim has not yet been served or fully particularised the Company cannot comment any further at this stage as to do so may prejudice the Company's position in the proceedings. 

The Company previously announced on 18 April 2024 that it had issued a comprehensive response to a pre-action letter of claim received from Harcus Parker Limited on behalf of certain shareholders.    The claim as set out in that pre-action letter of claim alleged that the Company, along with certain other parties, provided information to investors that was false, untrue or misleading.  The Company's intention at that time, and subsequently, has been vigorously to defend itself in respect of these matters and has denied the allegations made against it. 

The Company has previously indicated that the ability of the Company to make distributions to shareholders continues to be constrained whilst the Company faces potential group litigation or other claims, and issuance of the Claim illustrates this risk.  The Company is considering appropriate next steps with its professional advisors including the potential impact on the Company's previous announcement that any return of capital to Shareholders should be made via, and would therefore follow the commencement of, any liquidation process. Any relevant announcements in this regard will be made at the appropriate time.
