Statement of intention not to make an offer for easyJet plc ("easyJet")

Further to the joint announcement made by easyJet and Castlelake, L.P. ("Castlelake") on 5 July 2026 regarding a possible offer for easyJet, Castlelake confirms that, following careful consideration, it does not intend to make an offer for easyJet.

Castlelake is very appreciative of the constructive engagement with the easyJet Board and management team, and would like to thank them for their time and consideration of this potential transaction.

As a result of this announcement, Castlelake and any persons acting in concert with it will be bound by the restrictions contained in Rule 2.8 of the Code.

Under Note 2 on Rule 2.8 of the Code, Castlelake and any persons acting in concert with it reserve the right to set the restrictions in Rule 2.8 aside in the following circumstances:

(a) with the agreement of the Board of Directors of easyJet;

(b) following the announcement by or on behalf of a third party including, for the avoidance of doubt, Apollo Management X, L.P. (together with Apollo Global Management, Inc. and its subsidiaries, "Apollo"), any member of the Apollo group or any of Apollo's managed investment funds of a firm intention to make an offer for easyJet;

(c) if easyJet announces a Rule 9 waiver proposal (as described in Note 1 of the Notes on Dispensations from Rule 9 of the Code) or a reverse takeover (as defined in the Code); or

(d) where the Takeover Panel has determined that there has been a material change of circumstances.
