DCI Advisors Ltd

(the "Company" or "DCI")

Sale of Peyia Land in Cyprus

26 October 2026

The Directors of the Company are pleased to announce that terms have been agreed for the sale of the land located at Peyia, Paphos, Cyprus, which is held by its subsidiary DCI Holdings Four Limited ("DCI H4"), for a consideration of €2,800,000 plus VAT, compared to the latest carrying valuation at 30 June 2026 of €2,511,000. DCI H4's equity is ultimately 83.35% owned by DCI through DCI Holdings One Limited ("DCI H1").

DCI H4 has entered into a binding Sale Agreement and has received a deposit of €800,000 plus VAT. The balance of the purchase price is payable upon completion of the transaction, which is expected to occur within four months, subject to obtaining the relevant tax clearances and the other terms of the Sale Agreement.

In addition, to give effect to the settlement agreement between DCI and Dolphin Capital Partners ("DCP") entered into in 2025, DCI H1 has entered into a binding side letter to buy the 16.65% holding in DCI H4 beneficially owned by DCP through an affiliate vehicle.  DCI H1 will pay a cash consideration for the shares within 30 days of the completion of the sale, reflecting DCP's pro rata share of the net proceeds of the sale, which depending on transaction costs is expected to be approximately €2,500,000 plus VAT, in total. As DCP holds an interest of greater than 10% in DCI H4 it is treated as a related party under the AIM Rules for Companies and the purchase of its equity is a related party transaction.  The directors of the Company consider, having consulted with Cavendish, its nominated adviser, that the terms of the transaction are fair and reasonable insofar as DCI shareholders are concerned.

The Company will provide further updates to shareholders when appropriate in due course.
