RESULTS OF PLACING OF GLOBAL DEPOSITARY RECEIPTS OF AIR ASTANA JOINT STOCK COMPANY

Further to the announcement released on 16 December 2025 in relation to a proposed placing (the "Placing") by BAE Systems (Kazakhstan) Limited (the "Selling Shareholder") of global depositary receipts (the "GDRs") of Air Astana Joint Stock Company (the "Company"), each GDR representing four common shares ("Shares") of the Company, the Selling Shareholder today announces that it has sold an aggregate of 9,000,000 GDRs (the "Sale GDRs") at a price of US$ 5.80 per Sale GDR.
The Sale GDRs represent approximately 10.1% of the Company's outstanding Shares.
Following completion of the Placing, the Selling Shareholder will continue to hold 6,109,982 GDRs, representing approximately 6.9% of the Company's outstanding Shares. These GDRs are subject to a 90-day lock-up, subject to customary exceptions.
The Placing was conducted through an accelerated bookbuild. Settlement of the Placing is expected to occur on 22 December 2025. Jefferies International Limited ("Jefferies") is acting as sole global coordinator and joint bookrunner, and WOOD & Company Financial Services, a.s. ("WOOD & Company", and together with Jefferies, the "Managers") as joint bookrunner, in connection with the Placing.
