Villeta Update

 

ATOME (AIM: ATOM), provides an update further to the previous announcements regarding a new Power Purchase Agreement ("PPA") for the Villeta Project in Paraguay ("Villeta" or "Project").

 

Since the last update, the following events have occurred relating to the Power Purchase issues:

 

1.   The President of ANDE at the time of the revocation of the Presidential Decree Nos. 5306 and 5307 has resigned and been replaced. ATOME makes no comment at this stage in relation to this change other than below.  

 

2.   The President of Paraguay and his administration have created a working group to reassess key aspects of ANDE with a view to establishing certain new tariff regimes to attract investments that benefit the country, as well creating a new Ministry of Energy and a supervisory regulatory body. It has been requested by the Government at the same time that clarity of such tariff levels be achieved by the first part of September.

 

3.   In this regard, the new President of ANDE has stated there is significant new demand for power and has published a list of prospective power consumers, which in the main comprises AI and data centre businesses. ATOME does not feature in that list as it is already considered by ANDE as an existing customer with a signed PPA (concluded in 2022 and subsequently amended) for 145MW of agreed and reserved power with Villeta's power requirement incorporated as part of ANDE's own power plans and projections through 2050.

 

4.   As background to the now revoked Presidential Decree Nos. 5306 and 5307 published in January 2026, ATOME had agreed with ANDE to conclude a new PPA that would include internationally recognised institutional investment provisions as well as the tariff structure and term set out in both the Decree and the Resolution. The new PPA had been negotiated and form agreed with ANDE prior to the time of the now revoked Decree.

 

5.   ATOME stands apart from other prospective power users, not only because its power requirment had long been part of ANDE's power plans extending to 2050, but also because Villeta is the largest industrial foreign investment in the history of Paraguay, is ready-to-build and fully financed with US$665 million internationally backed investment from multinational institutions. If implemented per the plan, Villeta will generate over US$1 billion in revenue for ANDE, creating thousands of new jobs and making a real positive impact in GDP through a new innovative industry which supports Paraguayan agriculture and farmers and enhances food security for the people of Paraguay.

 

6.   Relevant parties have been made aware of the critical aspects of ATOME's position and ATOME continues to discuss and work through issues with such parties whilst separately taking steps to protect its interests. Notwithstanding this, ATOME continues to work with Casale S.A., its EPC partner, on the Project to maintain the original project schedule.

 

The Company expects to provide the market with a further update by the end of August.
