Response to dividend declaration by Alternative Income REIT plc ("AIRE")

 

AIRE has deviated from its financial calendar to declare a dividend for the quarter ended 30 June 2026, but without the usual accompanying quarterly shareholder update

Glenstone notes the announcement made on 23 July 2026 by AIRE bringing forward the declaration of its fourth interim dividend of 1.4 pence per AIRE Share with respect to the quarter ended 30 June 2026 (the "Fourth Quarterly Dividend"), which is to be paid on 14 August 2026 to AIRE Shareholders on the register of members of AIRE as at 31 July 2026 (the "AIRE Dividend Declaration"). Glenstone notes that the ex-dividend date for the Fourth Quarterly Dividend is expected to be 30 July 2026.

Glenstone further notes that AIRE has not published the quarterly shareholder update, which usually accompanies AIRE's dividend declarations and contains an update on AIRE's key financial metrics and its property portfolio during the relevant quarter in respect of which the dividend is being declared (a "Trading Update").

As AIRE has brought forward the AIRE Dividend Declaration, Glenstone considers it important that AIRE provides the market with the Trading Update for the quarter ended 30 June 2026 and would be concerned on behalf of all Shareholders if the AIRE Board does not do so, without further delay.

 

Glenstone's cash Offer has a transaction value of 71.4 pence per AIRE Share

On 6 July 2026, Glenstone announced the terms and conditions of an increased final* cash offer to acquire the entire issued and to be issued ordinary share capital of AIRE that the Glenstone Group does not already hold at 71.4 pence in cash for each AIRE Share (the "Offer"), to be implemented by means of a takeover offer pursuant to Part 28 of the Companies Act.

The total transaction value that AIRE Shareholders would be entitled to receive and retain when accepting Glenstone's cash Offer is 71.4 pence per AIRE Share, which includes the economic value of the Fourth Quarterly Dividend (being 1.4 pence per AIRE Share).  If the Fourth Quarterly Dividend is paid then AIRE Shareholders who had received that dividend would, accordingly, receive 70.0 pence per AIRE Share under the terms of Glenstone's Offer.

 

Market Purchases

Glenstone intends to continue to purchase AIRE Shares in the market and will make further announcements regarding market purchases in due course. The maximum price that could be paid by Glenstone in any such market purchases made prior to 30 July 2026 (being the ex dividend date for AIRE's Fourth Quarterly Dividend) will be 71.4 pence per AIRE Share.  Thereafter, the maximum price that could be paid by Glenstone for AIRE Shares purchased in the market will be 70.0 pence per AIRE Share.

 

Glenstone's cash Offer is the only offer currently open to Acceptances by AIRE Shareholders

On 6 July 2026, an offer document containing, amongst other things, the terms and conditions of the Offer and the procedures for acceptance (the "Offer Document") together with the related Form of Acceptance for AIRE Shareholders that hold AIRE Shares in certificated form were published and posted to AIRE Shareholders. The Offer Document and a specimen copy of the Form of Acceptance are available for inspection, subject to certain restrictions relating to persons resident in Restricted Jurisdictions, at Glenstone's website at https://www.glenstonereit.co.uk/cash-offer-for-alternative-income-reit-plc/.

This announcement should be read in conjunction with the full text of the Offer Document. This announcement is not a summary of the information in the Offer Document and should not be regarded as a substitute for reading the Offer Document in full. * The financial terms of the Offer are final and will not be increased except that Glenstone reserves the right to revise the financial terms of the Offer if a third party announces a firm intention to make an offer for AIRE under Rule 2.7 of the Code.
