                              Director Resignation

XP announces that Rich Sakakeeny, a Non-Executive Director of XP, has resigned
from the Board with effect from 9 June 2005.

Larry Tracey said 'Rich joined the board as a Non-Executive Director in August
2001 and we have been grateful for his contribution during his tenure. We wish
him well for the future'.

The Group have identified a replacement Non-Executive Director who has expressed
his willingness to join the board from March 2006.
