NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL
RESPONSIBILITY OR CONNECTED PERSONS

The Company received a notification on 12 October 2005 from Barclays Private
Bank & Trust Limited as trustees of the Xaar Plc Employee Benefit Trust
informing it that the trustees purchased today 775,000 ordinary shares at 287p
per share.

The Trustees total interest is 887,500 shares representing 1.46% of the 
Company's issued ordinary share capital. The announcement is made due to the
potential interest of the Directors and persons discharging managerial
responsibility.
