Wynnstay Properties PLC ('the Company')
Amendments to Articles of Association

At  the  extraordinary general meeting of the  Company  held
today,  shareholders approved a special resolution to  amend
the  Company's  articles  of  association,  modernising  the
requirements for use of the Company Seal and providing for a
Securities Seal to be kept by the Company for the sealing of
share certificates without the requirement of signatures.

The  Chairman confirmed that 2,376,638 shares had been voted
in  favour of the resolution with 333 shares voted  against.
Permission  will be sought forthwith to enable  transfer  of
the Company's shares to be settled electronically in CREST.
