£400,000,000 2 per cent convertible bonds due 2007 ("the bonds")

Merrill Lynch International, who is acting in the capacity of stabilising
manager pursuant to the stabilisation notice issued on 13th March 2002, hereby
notifies you that the greenshoe option in relation to the issue of £400,000,000
2 per cent WPP convertible bonds due 2007 has been exercised in full at 12.00
noon on 15th March 2002.  We formally request that the stabilisation period in
respect of WPP group plc 10p Ordinary Shares ends with immediate effect.
