                        Result of EGM


At an Extraordinary General Meeting held today in London,  a
new  incentive plan, the Leadership Equity Acquisition  Plan
for  key  WPP  executives,  was approved  by  share  owners.
Although  no poll was called for, proxy votes registered  in
favour totalled 395 million, representing 94.2% of all votes
cast  with  24.4 million against, representing 5.8%  of  all
votes cast.
