On 29th November 2006 Worthington Group plc received notification from J C Dwek
that Penmarric plc, a company controlled by J C Dwek and his family, has
acquired 1,629,308 shares currently registered in the name of Mr J C Dwek,
chairman.



There is no overall change in his beneficial interests and J C Dwek remains the
beneficial owner of a total of 1,904,308 ordinary shares of 10p each in the
Company, representing approximately 16.1% of the Company's total issued ordinary
share capital.
