LETTER TO:  COMPANY ANNOUNCEMENTS OFFICE

In accordance with our Listing obligations, we write to advise you that Mr R H
Meddings, a Director of Woolwich plc, was on 20 April 2000 granted an option
over 3,363 ordinary shares of 10p each under the Rules of the Woolwich plc 2000
Sharesave Scheme at 288p per ordinary share.  The option is normally exercisable
on or up to six months following the third anniversary of the date on which the
related savings contract commenced, which in this instance will be 1 July 2000.
