Total Voting Rights and Share Capital

 

 

In accordance with Rule 5.6.1R of the Financial Conduct Authority's Disclosure Rules and Transparency Rules (the "DTRs"), Wizz Air Holdings Plc (the "Company" and, together with its subsidiaries, the "Group") notifies that as at 31 March 2015:

 

−    it has two classes of shares in issue, being ordinary shares of £0.0001 each ("Ordinary Shares") and convertible shares of £0.0001 each ("Convertible Shares");

 

−    the total number of Ordinary Shares in issue is 52,280,115;

 

−    the total number of Convertible Shares in issue is 48,830,503; and

 

−    there are no shares held in treasury.

 

Each Ordinary Share carries one voting right per Ordinary Share.  The Convertible Shares do not carry voting rights, save in very limited circumstances.

 

The total voting rights figure of 52,280,115 may be used by shareholders (and others with notification obligations) as the denominator for the calculations by which they will determine whether they are required to notify their interest in, or a change to their interest in, the Company under the DTRs.

 

The total figure of 126,494,779 may be used by shareholders for the Company's theoretical fully diluted share capital, as at 31 March 2015, such total figure comprising 52,280,115 issued Ordinary Shares, 48,830,503 Convertible Shares, 24,246,715 new Ordinary Shares which would have been issued if the full principal of outstanding convertible notes, had been fully converted on 31 March 2015 (excluding any Ordinary Shares that would be issued in respect of accrued but unpaid interest on that date) and 1,137,446 new Ordinary Shares which may be issued upon exercise of vested but unexercised employee share options.
