                         Annual General Meeting



Wincanton plc ('Wincanton'), one of Europe's leading providers of supply chain
solutions, is pleased to announce that at the Annual General Meeting (AGM) which
was held on 21 July 2005, all resolutions were passed.


As previously announced, Victor Benjamin retired as Chairman at the AGM and has
also left the Board.  The company would like to thank Victor for his significant
contribution to its success since demerger in 2001 and wishes him a long and
happy retirement.



David Malpas has succeeded Victor as Chairman and David Edmonds has now taken
the position of Senior Independent Director.
