Director Responsibilities and Appointment of Non-Executive Director

 

The Board is pleased to announce the appointment of existing independent non-executive directors Kevin Ingram as Chairman of the Company, and Clive Peggram as Chairman of the Audit & Valuation Committee, effective immediately. Further, the Board is pleased to announce the appointment of Mark Katzenellenbogen as a new independent non-executive director with effect from 1 May 2019

 

On 14 December 2018, the Company previously announced that Kevin Ingram would step in for Andrew Adcock as interim Chairman of the Board and Clive Peggram would stand in for Kevin Ingram as interim Chairman of the Audit and Valuation Committee. Following the passing away of the previous Chairman, Andrew Adcock, in January of this year and after reviewing the performance of both Kevin Ingram and Clive Peggram in the interim period, the Board was pleased to approve the recommendation for their appointment by the Nomination Committee.

 

Kevin Ingram is an experienced non-executive director having previously been chairman of the Board of Aberdeen UK Tracker Trust Plc.  Both Kevin Ingram and Clive Peggram have been independent non-executive directors of the Company since 19 February 2015 and Kevin Ingram has previously served in the role as Chairman of the Audit and Valuation Committee.

 

Mark Katzenellenbogen has been involved in financial services for over 35 years. Since 2007 he has been CEO of Auden Capital LLP, a London based corporate finance advisory firm specialising in the investment and wealth management sector. He began his career with S.G Warburg in credit and banking, prior to working for the bank's mergers and acquisitions department. Since 2005 Mark has been a non-executive director of Oldfield, a long-only value equity manager.

 

Kevin Ingram, Chairman of the Company, said on the appointment of Mark Katzenellenbogen:

"The Directors are delighted that Mark has agreed to accept our invitation to join the Board. We consider that his input as an independent non-executive Director will be extremely valuable as he brings a wealth of experience from his time in financial services to the Board."

 

The following information is disclosed in accordance with Listing Rule 9.16.13.

 

Mark Katzenellenbogen held the following executive directorships of companies at the time of, or within the twelve months preceding a members' voluntary arrangement:

·      Jofrethe Ltd, members' voluntary liquidation on 26 July 2015

·      Zimbabwe Benefit Foundation, members' voluntary strike-off on 3 January 2017

 

There are no further details or disclosures required under Listing Rule 9.6.13 in respect of Mark Katzenellenbogen.

 

Mark Katzenellenbogen will stand for election as a Director at the Annual General Meeting to be held on 11 June 2019.
