The Remuneration Committee approved on 22nd July 2004 the granting by the
Company of awards under the terms of the Vp -Long Term Incentive Plan to each of
the following directors :J.F.G.Pilkington - 200,000 notional shares , N.A.
Stothard - 200,000 shares and M.J. Holt - 100,000 shares .


The award will vest only if performance targets are achieved or exceeded during
the period from 1st April 2004 to 31st March 2007 .
