1.     the Company was advised on 12 August 2003 by Mourant ECS Trustees Limited
that on 8 August 2003 the following directors acquired an interest in the
following number of ordinary shares of US$0.10 each in the Company at the price
of 119p per share through reinvestment of dividend income pursuant to the rules
of the Vodafone Group Profit Sharing Scheme:

2.     the Company was advised on 12 August 2003 by Mourant ECS Trustees Limited

of the Vodafone Group Share Incentive Plan:
