Vodafone Group Plc ('the Company')

In accordance with Section 329 of the Companies Act 1985, I have to inform you
that the Company was advised today by The Share Centre, administrators of
Personal Equity Plans and Individual Savings Accounts for the Company, that on
30 September 2002, through reinvestment of tax reclaims, Mr K J Hydon, director
of the Company, acquired 583 ordinary shares and Mr J M Horn-Smith, director of
the Company, acquired 47 ordinary shares of US$0.10 each in the capital of the
Company at 83.75 per share.
