by HBOS Employee Equity Solutions that on 11 October 2006 the following
directors and persons discharging managerial responsibility acquired an interest
in the following number of shares of US$0.113/7 each in the Company at the price
of 132p per share pursuant to the rules of the Vodafone Group Share Incentive
