Bovis Homes Group PLC 11 June 2003 The Company has yesterday been notified that Bovis Homes Group Employee Trust ('the Trust'), a discretionary trust, registered in the name of Towers Perrin Share Plan Services (Guernsey) Limited, transferred a total of 23,300 Ordinary Shares under the terms of the Bovis Homes Group Long Term Incentive Plan on 9 June 2003, following the exercise of an award by M R Harris, an executive director. The Executive Directors of Bovis Homes Group PLC are potential beneficiaries under the Trust and are deemed to be interested in all the shares held by the Trust and the dealings thereof for the purposes of Section 324 of the Companies Act 1985. In this connection, the Company has yesterday been notified that M R Harris, an Executive Director, exercised an award over 23,300 Ordinary Shares in the Company under the terms of the Bovis Homes Group Long Term Incentive Plan on 9 June 2003. The total consideration for these shares was £1. Having sold 9,601 shares at 417p per share on 9 June 2003 to meet the PAYE liability only, M R Harris retained the maximum number of shares and his resultant holding has increased by 13,699 shares to 248,733 shares. The Company has also been notified by its auditors that the performance condition in relation to TSR performance has not been met and therefore 23,300 shares representing 50% of the award made to M R Harris on 11 May 2000, have lapsed under the terms of the Bovis Homes Group Long Term Incentive Plan.
