Issue of Equity

On 28 October 2014 Troy Income & Growth Trust plc issued 100,000 Ordinary shares of 25 pence from its blocklisting facility at a price of 63.80 pence per share.

Following this issue, the Company has the ability to issue a further 12,771,600 ordinary shares under its blocklisting facility.

The Company's issued share capital now consists of 242,682,445 Ordinary shares, and there are no shares held in Treasury.  Therefore, the total number of shares with voting rights in Troy Income & Growth Trust plc is 242,682,445.

The above figure (242,682,445) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Troy Income & Growth Trust plc under the FCA's Disclosure and Transparency Rules.
