Netcentric Systems PLC ('Netcentric' or the 'Company')

The Company has issued and allotted 25,000,000 new ordinary 0.5p shares to New
Opportunity Investment Trust Plc in exchange for 175,000 new ordinary 5p shares
in the New Opportunity Investment Trust Plc. Following this exchange the New
Opportunity Investment Trust Plc will be interested in 17.89 per cent. of the
enlarged issued share capital of Netcentric.

The Netcentric new ordinary shares will rank pari passu with the existing
ordinary shares of the Company.  Trading in the new ordinary shares in the
Company is expected to commence on AIM on Friday 27 September 2002.
