Imaginatik plc (AIM: IMGK), a leading provider of collaborative innovation and problem-solving software and processes, is pleased to announce that it has raised approximately £222,000 before expenses by way of a conditional placing of 5,550,000 new Ordinary Shares of 0.0625p each (the 'Placing Shares') at 4p per Placing Share from institutional placees. 


The proceeds of the Placing will be invested in Imaginatik's sales operation in the UK and US in order to increase follow-through sales to the Company's major Fortune 500 and FTSE 100 clients.


Application for admission of the Placing Shares ('Admission') has been made and is expected to occur on 9 September 2008. The Placing is conditional, amongst other things, on Admission becoming effective.


Following Admission, the Company will have 131,377,799 Ordinary Shares in issue. The Placing Shares represent approximately 4.22 per cent. of the enlarged issued share capital of the Company immediately following Admission and each of the Placing Shares will be credited as fully paid and free from all liens, equities, charges, encumbrances and other interests and will, when issued, rank in full for all dividends and distributions thereafter declared, made or paid after Admission and otherwise rank pari passu in all respects with, and carry the same voting and dividend rights as, the existing Ordinary Shares.


The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company. 


The number of Placing Shares does not exceed the number of Ordinary Shares which the directors of Imaginatik are currently able to allot and which can be allotted free from statutory rights of pre-emption under existing authorities from shareholders passed at the annual general meeting of the Company which was held on 10 July 2008.


The Placing is to be carried out on behalf of the Company by WH Ireland Limited ('WHI') on the terms of a placing agreement dated 2 September 2008 and which contains warranties and indemnities from the Company in relation to Admission, the Placing and certain aspects of the Company's financial and trading position. Under this agreement, WHI has agreed to act as agent of the Company to use its reasonable endeavours to procure subscribers for the Placing Shares. The Placing is not being underwritten.
