Cancellation of admission to AIM

On 3 April 2012, Lifeskills Education Limited ("Lifeskills Education") announced that as at 1.00 p.m. on 2 April 2012, it had received valid acceptances in respect of 7,823,113 Stagecoach Shares, representing approximately 94.80 per cent. of the Offer Shares and approximately 78.23 per cent. of the Stagecoach Shares, and that the Offer for the Company had been declared unconditional in all respects.

As a result, Stagecoach has applied to the London Stock Exchange for the cancellation of admission to trading of the Company's shares on AIM ("Cancellation") and Cancellation is expected to take place at 7.00 a.m. on 9 May 2012. As Lifeskills Education owns or has received acceptances in respect of more than 75 per cent Stagecoach Shares, Cancellation will take place without obtaining the approval of Stagecoach Shareholders. Such Cancellation will significantly reduce the liquidity and marketability of Stagecoach Shares.

The Offer remains open for acceptance until further notice.  All terms set out in the Offer Document still apply. Shareholders who wish to accept the Offer and have not already done so are encouraged to do so without delay, and should refer to the announcement by Lifeskills Education of 12 March 2012 and to the relevant Offer documentation. Acceptances of the Offer should be received in accordance with the instructions contained in the Offer Document and (in the case of shares held in certificated form) the Form of Acceptance.
