Result of Extraordinary General Meeting

St. James's Place Capital plc ('SJPC') today held its
Extraordinary General Meeting in connection with the
recommended partial cash offer by Halifax Group plc for SJPC
and proposals for the SJPC share option schemes.

All the resolutions were duly passed by shareholders.
