                               ISSUE OF SHARES



In connection with the previously announced completion of the acquisition of
the Technology and Information Services division of Aventis Research &
Technologies GmbH & Co KG, Sopheon plc has issued 3,471,191 ordinary shares of
5p each. The shares allotted rank pari passu in all respects with the existing
issued Ordinary Shares in the Company.  Application will be made to the London
Stock Exchange for the shares being issued to be admitted to AIM, and it is
expected that dealings will commence on Thursday 5 July 2001.
