                            Directors' Shareholdings


Sanderson Group plc ('Sanderson' or 'the Company'), announces that it was
informed today that Mr Christopher Winn, Executive Chairman of the Company,
purchased 25,000 Ordinary shares in Sanderson on 23 May 2006 at a price of 43
pence per share.


Following this purchase, Mr Winn has an interest in 1,091,199 ordinary shares
and options over 2,037,715 Ordinary shares.
